1. Acceptance of Terms
By installing, accessing, or using the Marketing Pulse application (the "Service"), you ("Merchant" or "you") agree to be bound by these Terms of Service ("Terms") and our Privacy Policy, which is incorporated herein by reference.
If you are accessing the Service on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms. If you do not agree to these Terms, do not install or use the Service.
These Terms constitute a binding agreement between you and Marketing Pulse ("we", "us", or "our"), effective upon the date you install the application.
2. Description of Service
Marketing Pulse is a Shopify embedded application that provides:
- Integration with Meta Ads and Google Ads accounts via OAuth.
- Daily aggregation of ad campaign performance data (spend, impressions, clicks, conversions).
- Revenue attribution by linking Shopify order UTM parameters to ad campaigns to calculate Return on Ad Spend (ROAS).
- Automated daily report delivery via email (all plans), Slack channel (all plans), and SMS (Pro plan only).
- Configurable performance alerts and notification preferences.
The Service is designed for Shopify merchants and requires an active Shopify store to function.
3. Shopify Platform
Marketing Pulse operates as an embedded application on the Shopify platform. Your use of the Service is also subject to Shopify's Terms of Service. In the event of a conflict between these Terms and Shopify's Terms of Service, Shopify's Terms shall prevail in respect of your use of the Shopify platform.
4. Billing and Subscription
4.1 Shopify Billing API
All billing for Marketing Pulse is handled exclusively through the Shopify Billing API. We do not collect, store, or process any payment card information directly. All charges appear on your Shopify invoice.
4.2 Plans
We offer the following subscription plans:
- Free / Trial: 14-day trial with limited features. No charge during the trial period.
- Starter ($29/month): Connect one Meta Ads account and one Google Ads account. Email reports. Advanced analytics.
- Pro ($79/month): Unlimited ad account connections. Email, Slack, and SMS alerts. AI insights (when available). Priority support.
4.3 Cancellation and Refunds
You may cancel your subscription at any time by uninstalling the Marketing Pulse app from your Shopify Admin. Your subscription will remain active until the end of the current billing period. Refunds for partial billing periods are subject to Shopify's standard refund policies.
Upon cancellation, your data will be permanently deleted from our systems as described in our Privacy Policy and Data Deletion Instructions.
4.4 Plan Changes
You may upgrade or downgrade your plan at any time. Billing changes take effect immediately and are prorated by Shopify. Downgrading may result in the loss of access to features not included in the new plan.
5. Acceptable Use
You agree not to use the Service to:
- Violate any applicable law or regulation.
- Infringe the intellectual property rights of any third party.
- Access or attempt to access another merchant's data without authorisation.
- Reverse engineer, decompile, disassemble, or attempt to derive the source code of the Service.
- Use the Service to send unsolicited messages (spam) to any person.
- Introduce malicious code, viruses, or other harmful software into the Service or Shopify's infrastructure.
- Resell, sublicense, or otherwise commercialise access to the Service without our prior written consent.
We reserve the right to suspend or terminate your access to the Service immediately if we determine that you have violated these Terms.
6. Third-Party Integrations
The Service integrates with third-party platforms including Meta (Facebook), Google, Resend, Twilio, and Supabase. By connecting these integrations, you agree to the respective terms of service and privacy policies of those platforms. We are not responsible for the actions, content, or policies of these third parties.
You are solely responsible for ensuring that your use of the Meta Ads and Google Ads APIs through our Service complies with Meta's and Google's respective Platform Terms.
7. Intellectual Property
The Service, including all software, designs, text, and other content, is the property of Marketing Pulse and is protected by applicable intellectual property laws. You are granted a limited, non-exclusive, non-transferable, revocable licence to use the Service solely for your internal business purposes during the term of your subscription.
You retain all rights to your own data (Shopify orders, ad performance data). You grant us a limited licence to process that data solely to provide the Service to you.
8. Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
WE DO NOT WARRANT THAT: (A) THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE; (B) DEFECTS WILL BE CORRECTED; (C) THE SERVICE OR THE SERVERS THAT MAKE IT AVAILABLE ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS; OR (D) THE RESULTS OBTAINED FROM THE USE OF THE SERVICE WILL BE ACCURATE OR RELIABLE.
Analytics disclaimer: The ROAS figures, attribution data, and performance reports generated by the Service are informational estimates only. They are based on UTM parameter matching and are subject to the accuracy and completeness of the UTM parameters present in your Shopify orders. Marketing Pulse does not guarantee the accuracy of attribution data and makes no representation that use of the Service will improve your advertising ROI or business performance. Decisions to increase, decrease, or reallocate advertising spend are made solely at your own risk.
9. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL MARKETING PULSE BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM: (A) YOUR USE OF OR INABILITY TO USE THE SERVICE; (B) ANY INACCURACY IN ANALYTICS OR ATTRIBUTION DATA; (C) UNAUTHORISED ACCESS TO OR ALTERATION OF YOUR DATA; (D) ANY THIRD-PARTY CONDUCT OR CONTENT ACCESSED THROUGH THE SERVICE.
OUR TOTAL CUMULATIVE LIABILITY TO YOU FOR ANY CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE FEES PAID BY YOU IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
10. Indemnification
You agree to indemnify, defend, and hold harmless Marketing Pulse and its officers, directors, employees, and agents from and against any claims, liabilities, damages, judgements, awards, losses, costs, expenses, or fees (including reasonable legal fees) arising out of or relating to: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any third-party right, including without limitation any intellectual property, privacy, or other right.
11. Term and Termination
These Terms remain in effect as long as you have an active Marketing Pulse installation on your Shopify store.
Either party may terminate these Terms at any time. You may terminate by uninstalling the app. We may terminate or suspend your access immediately, without notice, for conduct that we believe violates these Terms or is harmful to other users, us, or third parties, or for any other reason.
Upon termination, your right to use the Service ceases immediately, and all your data is permanently deleted from our systems per our data deletion policy.
12. Governing Law and Disputes
These Terms shall be governed by and construed in accordance with applicable law. Any disputes arising out of or relating to these Terms or the Service shall first be attempted to be resolved through good-faith negotiation. You agree to contact us at support@marketing-pulse.app before initiating any formal legal proceedings.
13. Changes to Terms
We reserve the right to modify these Terms at any time. Material changes will be communicated via email or an in-app notification at least 14 days before they take effect. Your continued use of the Service after changes take effect constitutes your acceptance of the revised Terms.
